    The Allentown office of law firm Norris McLaughlin, P.A., is pleased to announce that it raised over $10,000 for charities in 2018.

    Every month the firm raises money for a different charity. This is accomplished by raffling items; having pot-luck breakfasts or lunches; and scheduling Friday denim days, when each employee of the firm can wear jeans if they donate $5 to the cause.  We are very proud that many individuals donate above and beyond the $5 on Fridays. Their generosity and compassion allowed the firm to greatly exceed its charitable goal for 2018.  So far, our Allentown office is off to a great start in 2019 with over $1,800 raised for January’s charity, Greater Lehigh Valley YMCA, and February’s charity, Leukemia & Lymphoma Society.

    “Over the past three years, we have made every Friday a denim day in our Allentown office. Each month our employees have the opportunity to choose a charity that is near and dear to them. Our staff constantly goes above and beyond to create fun, fresh ways to raise money for the firm’s adopted monthly charity.  Our firm has always been committed to our community, and I could not be more proud to work alongside so many employees who take action in making a difference in the Lehigh Valley,” said Co-Chair of the Business Law Group, S. Graham Simmons III.

    2018 charities included Juvenile Diabetes, United Way, Leukemia and Lymphoma Society, Greater Easton Development Partnership, Sanctuary of Haafsville, Alzheimer Association, Big Brothers/Big Sisters, Alex’s Lemonade Stand, Community Bike Works, 6th Street Shelter, Ballet Guild of Lehigh Valley and the Allentown Branch of the Greater Valley YMCA.

  • Mar 05, 2019Norris McLaughlin Welcomes Associate to Pennsylvania Office

    The law firm Norris McLaughlin, P.A., is pleased to welcome Molly Renee Williams as an Associate.  She joins the firm’s Business Law Practice Group.

    Williams has experience drafting and negotiating complex contract licensing agreements, identifying and implementing process improvements to enhance efficiency in the contract creation and approval process, and assisting in trademark applications and nonprofit formation forms.

Molly’s extensive experience with The Boeing Company and will be an excellent complement to our firm and will also provide a terrific resource to our valued clients,” said Co-Chair of the Business Law Group, S.     Prior to joining the firm, Williams was a Contracts Manager with, Inc., working as a contract licensing subject matter expert for the Alexa Global Data Acquisition Program.  She also was an Amazon Web Services (AWS) Senior Contracts Specialist, handling operationalized statement of work creation for AWS Professional Services and AWS Legal, including providing input to support development and roll out of new global process to simplify contract workflow. Williams also worked as a Contracts Manager and Intellectual Property Licensing Manager at The Boeing Company where she drafted and negotiated contracts and licensing agreements for aircraft related products, services, and intellectual property.

    Williams earned her J.D. in 2012 from Vanderbilt University School of Law, where she earned Dean’s Scholar and Lightfoot Franklin & White Legal Writing Award for Best Oralist. She was involved in Moot Court Competition, Phi Delta Phi, and Black Law Student Association. Williams received her M.B.A. from Simon School of Business – University of Rochester, with a concentration in finance, in 2015.While earning her M.B.A., she was a member of The Consortium for Graduate Study in Management Fellow, Forté Fellow, and Vice President of Internal Communications Graduate Business Council. She received her B.A., cum laude, in Political Science from the University of Rochester in 2007, where she was on Dean’s List, earned First Place Speaker Novice Policy Debate at John Carroll University Debate Tournament, and earned Third Place Speaker Novice Policy Debate at the 2004 Russell D. Martin Tournament, Cornell University.

    Julie M. Macomb, an Associate of law firm Norris McLaughlin, P.A., is one of the 40 young professionals from the Greater Lehigh Valley named to Lehigh Valley Business 2019 Forty Under 40.

    An independent panel of judges reviewed the nominees and scored them based on their achievements. Macomb was recognized for her outstanding contributions to the Greater Lehigh Valley, in both her industry and the community.

    Macomb devotes her practice to business, healthcare, and real estate law. She is actively involved in the day-to-day legal counseling of businesses, formation of business entities, general contract matters, corporate restructurings, and shareholder disputes.  In her health care practice, Macomb works with hospitals and their affiliated corporations, physician groups, clinical laboratories, medical staffs, nursing homes, and other long-term care facilities.  Her real estate practice is focused on commercial lending issues; leasing; leasing projects for the firm’s healthcare clients; and acquisition, zoning, and disposition of commercial, residential, industrial, and retail properties.

    Macomb is on the Board of Directors of the Downtown Allentown Business Alliance and the Board of Directors of Community Music School, as well as the Board of Managers of The Bach Choir of Bethlehem. She has been recognized in Philadelphia Magazine as a Rising Star, a distinction for lawyers age 40 and under or who have been practicing for fewer than 10 years and reserved for no more than 2.5% of all attorneys in Pennsylvania.   • Dec 07, 2018Victor Elgort to Present on Top LLC Mistakes for National Business Institute

    Victor S. Elgort, a Member of law firm Norris McLaughlin, P.A., will speak at the National Business Institute’s seminar, “Top 8 LLC Mistakes to Avoid in Everyday Business Practices: Avoid, Manage and Leverage Formation, Tax and Operating Agreement Oversights.” The seminar, approved for 8 NJ and NY CLE credits, 6.5 PA CLE credits, 8 CPE credits, and 0.7 IACET credits, will be held Thursday, December 20, 8:20 a.m. – 4:40 p.m., at the Holiday Inn Philadelphia-Cherry Hill in Cherry Hill.

    Elgort often speaks at seminars on structuring complex LLC and partnership transactions. Most recently, on November 27, he spoke on a similar topic for the Nassau County Bar Association in New York, at a meeting jointly sponsored by three sections of the Bar Association, including the Corporation, Taxation, Banking & Securities Law Committees.  The theme was “All-Too-Common Mistakes in LLC Operating Agreements.”

    Elgort is Chair Emeritus of the firm’s Tax Group, practicing out of all three Norris McLaughlin locations, as he is admitted in New Jersey, New York, and Pennsylvania. His practice concentrates on business law and tax planning, including the structuring of partnerships and joint ventures, tax-saving real estate and business exit strategies, executive compensation, and domestic and international estate planning matters.

    Elgort organized and created the first limited liability company in New Jersey.  He authored the standard form operating agreements and other documents for limited liability companies published by Julius Blumberg, Inc., including both the forms for use in New Jersey and the generic forms offered nationwide for limited liability companies.

    In addition, Elgort is a Fellow of the American College of Trust and Estate Counsel.  He frequently lectures at tax planning courses, including continuing education seminars.   • Oct 24, 2018Peter Hutcheon Receives 2018 ABA LLC, Partnerships and Unincorporated Entities Content Recognition

    Peter D. Hutcheon, a Member of law firm Norris McLaughlin, P.A., has been awarded the “Professor Elizabeth ‘Beth’ S. Miller Content ‘Recognition’” by the American Bar Association (ABA) Section of Business Law’s LLC, Partnerships and Unincorporated Entities Committee for his contributions.  Highlighted were his long tenure as editor of The PUBOGRAM, his work on legislative drafting committees and on the uniform acts, his participation in Committee seminars as well as other ABA committees, and his over 30 columns in The PUBOGRAM.

    Hutcheon practices primarily in the areas of business governance, commercial transactions, securities, banking, and finance.  He regularly counsels management of public and private companies and banking institutions on governance matters and is an expert on indemnification and insurance issues affecting directors and officers.  Hutcheon represents clients seeking investment capital from private placements, venture capital and private equity deals, and firm commitment underwritten offerings of securities.  Many of these financings involve high-tech businesses.  Hutcheon is experienced with securities matters ranging from stock options to dividend reinvestment plans, is familiar with bank regulatory matters, and has worked on mergers and acquisitions in the banking industry.  He is experienced in corporate and financing transactions and has represented both buyers and sellers in public and private corporate acquisition transactions, including public/private partnership deals, in deals involving over $2 billion.

    A long-time member of the ABA’s Section of Business Law, LLC, Partnerships and Unincorporated Entities Committee, Hutcheon is one of three Observers to the Beneficial Ownership Task Force and was editor of the Committee’s newsletter, The PUBOGRAM, for 16 years.  He is the 2005 recipient of the Martin I. Lubaroff Award for his lifelong service to this Committee.  He was a director for 22 years (including 2 years as chair) of the New Jersey State Bar, Corporate and Business Law Section, and has chaired the State Bar’s Banking Law Section.  He was chairman of the New Jersey Corporate and Business Law Study Commission from its inception in 1989 to 2002, providing reports and suggestions on business law developments to the New Jersey Legislature and the Governor.  He chaired the New Jersey Securities Advisory Committee appointed by the Attorney General from 1995 to 2001 and has served as the ABA’s Liaison to the New Jersey Bureau of Securities for over 37 years.

    Hutcheon is listed in the Corporate Law, Mergers & Acquisitions Law, and Securities Law sections of the current edition of The Best Lawyers In America and has been included on the list of New Jersey Super Lawyers in the Business/Corporate section every year since its inception in 2005.  Additionally, he has authored numerous articles on business-related law topics including limited liability companies, securities, and directors and officer’s liability.

    Hutcheon received his undergraduate degree, magna cum laude, from Williams College and his J.D., cum laude, from Harvard Law School.

    Theodore J. Zeller III and Matthew B. Andersen, attorneys at law firm Norris McLaughlin, P.A., will be presenters at The Brewers of Pennsylvania 4th Annual Mid Atlantic Brewers’ Symposium. With the science of brewing and business of brewing as the focus, attendees will be given valuable resources and insight, plus a unique perspective on Pennsylvania’s ever-changing craft beer landscape. October 12, Zeller will present “2019 Sales Tax & Craft Beer Legal Updates,” including a special presentation from Andersen on the new U.S. Department of Agriculture audits, 8:30 – 9:20 a.m.

    Zeller, Chair of the firm’s Liquor Law Practice Group, has extensive experience in liquor law, regulatory licensing, commercial transactions, real estate transactions, and litigation. He was lead counsel in a beer rights case brought against the world’s largest brewers, and is General Counsel to Brewers of Pennsylvania.  Known throughout Pennsylvania, he also represents beer interests on a national level and advises breweries and wholesalers on state regulatory matters involving beer distribution and franchise laws. He regularly prepares distribution agreements for his clients, and coordinates state and federal licensing for manufacturing and national distribution. Zeller has tried multiple cases in county and federal court, including jury trials, and hundreds of cases before arbitration panels, district justices, and administrative law judges. He is General Counsel to D.G. Yuengling and Son, Inc., represents alcohol interests in every category and has helped numerous start-up breweries, wineries, distilleries, and retailers.  He presently serves as Chairman of the Allentown Parking Authority. Zeller is an author on the firm’s Liquor Law Blog. He earned his J.D. from Pennsylvania State University Dickinson School of Law, and his B.A. from the University of Notre Dame.

    Andersen concentrates his practice on liquor law and business law. In his liquor law practice, he works with breweries, distilleries, wineries, wholesalers, distributors, restaurants, and hotels on obtaining and transferring liquor licenses, complying with liquor regulations and laws, providing transactional counseling, and defending citations and protests before the Pennsylvania Liquor Control Board.  Andersen represents national restaurant chains and hospitality companies with regard to their Pennsylvania locations in all aspects related to their liquor licenses and acquisitional counseling.  He also works with numerous alcohol manufacturers to bring their dreams and ideas of operating a brewery, distillery or winery to a reality, and advising through the planning, licensing and operation stages to bring those dreams to reality.  Additionally, Andersen has worked with licensees, nonprofit organizations and event planners on obtaining temporary alcohol permits for various events. He also is experienced in drafting and negotiating distribution agreements between alcohol manufacturers and distributors in many states to assist manufacturers in expanding the reach of their brands.  He also works with alcohol manufactures on obtaining federal Certificate of Label Approvals and formula approval for their products.  Andersen is an author for the firm’s Liquor Law Blog, and won a JD Supra Reader’s Choice Award in 2018 for his contributions to the blog. He is an assistant lacrosse coach at Northwestern Lehigh High School. He earned his J.D. from Duquesne University School of Law, and his B.A. from The Pennsylvania State University.

    John N. Vanarthos, a Member of the law firm Norris McLaughlin, P.A., has been elected Chairman of the firm, following four years on the firm’s Management Committee.  He succeeds Matthew R. Sorrentino, who recently left the firm to serve as Chief Legal Officer of Lehigh Valley Health Network, one of the firm’s largest and oldest clients. In addition, David Blatteis and Graham Simmons have joined Dolores Laputka as Co-Chairs of the Business Law Group; and Daniel Guadalupe and David Roberts have been selected as Co-Chairs of the Litigation Practice Group. Robert Gabrielski has stepped down as Chair of the Business Law Group after ten years, and Robert Mahoney has stepped down as Co-Chair of the Litigation Practice Group after twelve years.

    Vanarthos joined the firm in 1988 as a young Associate, earning Membership in 1996.  He has served many roles within the firm, including as Chair of the firm’s Business Law Practice Group for 10 years, and currently as a leader of the firm’s Recruitment Committee.  Vanarthos has devoted his practice to helping companies, both large and small, with their business legal needs.  As a business lawyer, he regularly represents and counsels the firm’s corporate clients in a wide range of commercial transactions, including mergers, acquisitions, corporate partnerships, and other strategic alliances.  He has substantial industry-specific experience including pharmaceutical, medical device manufacturing, chemical, information technology, and health care, among others.  He also advises high-tech companies in the areas of technology licensing, information management, and product development. Over the years, Vanarthos has represented individual entrepreneurs and startup companies.  He has strategically guided them from idea conception to exit strategy, solving their legal problems along the way.   He is a frequent speaker and author on a wide range of business law topics that are relevant to the firm’s clients. Vanarthos serves as counsel for the United States operations of several foreign-based corporations, where he is responsible for all legal issues in the U.S., including general business advice, contract and tax matters, litigation management, and employee relations. Vanarthos earned his J.D. from Rutgers School of Law – Newark in 1987 and his B.A. from Rutgers, The State University of New Jersey, in 1979.

    Blatteis is a member of the firm’s Management Committee.  He is a business lawyer concentrating his practice in the areas of pharmaceutical, pharma services, medical device, and healthcare. Blatteis understands the unique business and complex legal concerns of pharmaceutical companies and service providers in the pharmaceutical industry, as a result of his 18 years of experience serving as a trusted advisor to public and private companies in this space. He is also on the Advisory Board of Hip Innovation Technology, LLC, and is the New Jersey Chapter President of Pharmaceutical Consulting Consortium International, Inc.

    Simmons, a Member of the firm, is a business and real estate lawyer.  Simmons has served both public and private sector clients on all types of M&A transactions, commercial and syndicated credit facilities, economic development projects, real estate transactions, leases, and land use and zoning matters.  Simmons has represented clients across a diverse spectrum of industries and is deeply experienced in the banking and financial services, health care, real estate development, economic development, and automobile dealership industries.

    Guadalupe, a Member of the firm, represents clients in commercial litigation and “outside” general counsel assistance with a specialty in business disputes, medical device companies, construction, professional liability defense, arbitrations, trade secret and non-compete disputes, will and trust litigation, and international disputes.

    Roberts, a Member of the firm, devotes his practice to handling complex commercial litigation matters, such as fraud, fraudulent transfers, trade secret, restrictive covenant litigation, employment litigation, environmental matters, and insurance coverage litigation. His practice has a particular emphasis on partnership and shareholder disputes, including oppression and dissenter’s rights cases.  In 2007, Dave launched the Shareholder Dispute NJ blog, which addresses minority shareholder disputes in New Jersey.  In addition, he writes and lectures extensively on this topic.
