Bridgewater, NJ (June 4, 2013) – Victor S. Elgort and Peter D. Hutcheon, Members of the Bridgewater-based law firm of Norris, McLaughlin & Marcus, P.A., will speak on Limited Liability Companies: Capitalize on the Advantages of LLCs, at the Holiday Inn in Princeton on June 19, 2013. The event is sponsored by National Business Institute.
The seminar is designed for attorneys, CPAs and accountants, business owners and managers, enrolled agents, registered tax return preparers, CFOs, presidents and vice presidents, controllers, and paralegals. The program will provide in-depth material regarding current creative uses of LLCs, as compared to alternative entity choices, and will cover the tax consequences of various LLC organizational structures. The program will also cover the new Limited Liability Act recently rewritten in its entirely and adopted in New Jersey for both new and existing LLCs. Victor S. Elgort is a senior member of the taxation and business groups at Norris McLaughlin. His practice concentrates on business tax planning matters, including the structuring of partnerships and joint ventures, executive compensation, and domestic and international estate planning matters. Elgort organized and created the first limited liability company in New Jersey and wrote the standard form operating agreements and other documents published by Julius Blumberg, Inc., for limited liability companies nationwide. He is a member of the New JerseyState and American Bar Associations, the American Intellectual Property Law Association, the Computer Law Association, and is a Fellow of the American College of Trust and Estate Counsel. Elgort received his undergraduate degree with honors from RutgersUniversity, his J.D. with honors from CornellUniversity, and his LL.M. in Taxation from New York University.
Peter D. Hutcheon practices primarily in the areas of business governance, commercial transactions, securities, banking and finance. Hutcheon regularly counsels managements of public and private companies and banking institutions on governance matters. He also has particular expertise with respect to indemnification and insurance issues affecting directors and officers. Hutcheon regularly represents one of the largest contract sales organizations, negotiating major field force agreements with pharmaceutical companies. He also represents clients seeking investment capital from private placements, venture capital and private equity deals, as well as firm commitment underwritten offerings of securities. Hutcheon is experienced with securities matters ranging from stock options to dividend reinvestment plans. He possesses extensive familiarity with bank regulatory matters and has worked on mergers and acquisitions in the banking industry. Hutcheon has considerable experience in corporate and financing transactions and has represented both buyers and sellers in public and private corporate acquisition transactions in deals involving some $1 billion. He received his undergraduate degree magna cum laude from WilliamsCollege, his J.D. cum laude from WilliamsCollege.
