    Peter D. Hutcheon Appointed to Editorial Board of Jurimetrics

    Bridgewater, NJ (September 30, 2014) – Peter D. Hutcheon, a Member of the law firm Norris McLaughlin, P.A., with offices in Bridgewater, NJ; midtown Manhattan; and Allentown, PA, has been appointed to the 2014-2015 Jurimetrics Journal Editorial Board.  Jurimetrics is the publication of the Science & Technology Law Section of the American Bar Association (ABA).  It is an international journal concerned with issues in all areas of law, science, and technology, including physical, life, social, and behavioral sciences; engineering, aerospace, communications, and computers; logic, mathematics, statistics, and quantitative methods; use of science and technology in law practice, litigation, adjudication, legislation, and court and agency administration; and legal regulation and policy implications of science and technology.  Hutcheon previously served as Associate Editor (1974-1977), Editor-in-Chief (1977-1981) of Jurimetrics and has been a Member of its Editorial Board since 2011.  He also has held leadership positions with the Section of Science and Technology Law, including serving as Chair (1986-1987).

    The mission of the Science & Technology Law Section of the ABA is to provide leadership on emerging issues at the intersection of law, science, and technology; to promote sound policy and public understanding on such issues; and to enhance the professional development of the Section’s members.  The ABA is the largest voluntary professional association in the world. With nearly 400,000 members, the ABA provides law school accreditation, continuing legal education, information about the law, programs to assist lawyers and judges in their work, and initiatives to improve the legal system for the public.

    Hutcheon practices primarily in the areas of business governance, commercial transactions, securities, banking and finance.  He regularly counsels managements of public and private companies and banking institutions on governance matters. He also has particular expertise with respect to indemnification and insurance issues affecting directors and officers. Hutcheon represents clients seeking investment capital from private placements, venture capital and private equity deals, as well as firm commitment underwritten offerings of securities. Many of these financings involve high-tech businesses. Hutcheon is experienced with securities matters ranging from stock options to dividend reinvestment plans. He possesses extensive familiarity with bank regulatory matters and has worked on mergers and acquisitions in the banking industry. Hutcheon is experienced in corporate and financing transactions and has represented both buyers and sellers in public and private corporate acquisition transactions in deals involving almost $2 billion.

    Hutcheon, also a long-time member of the ABA’s Section on Business Law, Partnerships and Unincorporated Business Organizations Committee, was the editor of its newsletter, the PUBOGRAM, for 16 years. He is the 2005 recipient of the Martin I. Lubaroff Award for his lifelong service to this Committee. He was a director for 22 years (including 2 years as chair) of the New Jersey State Bar, Corporate and Business Law Section, and also chaired the State Bar’s Banking Law Section. He was chairman of the New Jersey Corporate and Business Law Study Commission from its inception in 1989 to 2002, providing reports and suggestions on business law developments to the New Jersey Legislature and the Governor.  He chaired the New Jersey Securities Advisory Committee appointed by the Attorney General from 1995 to 2001, and has served as the American Bar Association’s Liaison to the New Jersey Bureau of Securities for over 33 years.

    Hutcheon is listed in the Corporate Law, Mergers & Acquisitions Law, and Securities Law sections of the current edition of The Best Lawyers In America, and has been selected for inclusion on the list of New Jersey Super Lawyers in the Business/Corporate section every year since its inception in 2005. Additionally, he has authored numerous articles on various business-related law topics including limited liability companies, securities, and directors and officer’s liability.

    He received his undergraduate degree, magna cum laude, from Williams College and his J.D., cum laude, from Harvard Law School.
