    Peter Hutcheon Named Founding Fellow of the American College of LLC and Partnership Attorneys

    Peter D. Hutcheon, Of Counsel to law firm Norris McLaughlin, P.A., has been named a Founding Fellow of the American College of LLC and Partnership Attorneys.

As a Founding Fellow, I look forward to supporting the efforts of the College, as well as having the opportunity to consult with international, national, state, and local organizations interested in the continuation, growth, operation, and management of LLC, partnership, and other unincorporated entity law and practice,” said Hutcheon.

    About the American College of LLC and Partnership Attorneys

    The College was formed to honor attorneys, judges, or professors who have distinguished themselves by devoting and demonstrating a willingness to organize bar projects, write articles, teach law courses, draft legislation, practice, and focus a significant amount of their time to matters involving limited liability company (LLC), partnership, and other unincorporated entity law for ten or more years. The objectives for Fellows are to provide forums for attorneys to meet and exchange ideas and professional experience; speak on matters of interest and importance; make educational materials available to the bar, the public, and legislative, judicial, and executive bodies authoritative; promote high standards of professional and ethical responsibility and continuing education of attorneys, judges, and professors; and seek to improve the practice of LLC, partnership, and other unincorporated law.

    About Peter Hutcheon

    Hutcheon has practiced in his 45 years with Norris McLaughlin primarily in the areas of business governance, commercial transactions, securities, banking, and finance. He counsels managements of public and private companies including companies involved with the bio-tech and pharmaceutical industries, as well as banking institutions, on governance matters. Hutcheon represents clients seeking investment capital from private placements, venture capital, and private equity deals, and firm commitment underwritten offerings of securities. Many of these financings involve high-tech businesses. He is experienced with securities matters ranging from stock options to dividend reinvestment plans, is familiar with bank regulatory matters, and has worked on mergers and acquisitions in the banking industry. Hutcheon is experienced in corporate and financing transactions and has represented both buyers and sellers in public and private corporate acquisition transactions, including public/private partnership financings, in deals involving over $2 billion.

    Hutcheon has been a member of the Limited Liability Companies, Partnerships, and Unincorporated Entities Committee of the American Bar Association (ABA) Business Law Section since 1981. He founded and served 16 years as Editor of the Committee’s newsletter. In 2005, Hutcheon received the Committee’s Martin I. Lubaroff Award in recognition of his contributions to the law of unincorporated entities. He was once again honored by the Committee in 2018 as the first recipient of the Professor Elizabeth Miller Prize for his written work for the Committee’s publications.

    Hutcheon was a director for 22 years (including two years as chair) of the New Jersey State Bar Association Corporate and Business Law Section, and has chaired the State Bar’s Banking Law Section. He was Chairman of the New Jersey Corporate and Business Law Study Commission from its inception in 1989 to 2002, providing reports and suggestions on business law developments to the New Jersey Legislature and the governor. He chaired the New Jersey Securities Advisory Committee appointed by the attorney general from 1995 to 2001, and served as the ABA’s Liaison to the New Jersey Bureau of Securities for over 39 years. Hutcheon served as Chair of the ABA Science & Technology Law Section, as well as the Editor of Jurimetrics Journal, and more recently, as a member of its Editorial Board.

    Hutcheon is listed in the Corporate Law, Mergers & Acquisitions Law, and Securities Law sections of the current edition of The Best Lawyers In America, and has been included on the list of New Jersey Super Lawyers in the Business/Corporate section every year since its inception in 2005. Additionally, he has authored numerous articles on business-related law topics including limited liability companies, securities, and directors and officer’s liability.

    Hutcheon received his undergraduate degree, magna cum laude, from Williams College and his J.D., cum laude, from Harvard Law School.
