William L. Brewer focuses his practice in the areas of commercial real estate financing, leasing, acquisitions and sales, loan restructuring and workouts, loan sales and purchases, and distressed debt transactions.

Bill represents lenders and borrowers in connection with commercial and mezzanine loans secured by real property and other assets, commercial construction financing, and workouts and foreclosures. He also advises lenders on restructuring defaulted loans and negotiating forbearance agreements, deed in lieu agreements, and modifications and amendments to loan documentation. In addition, Bill prepares and negotiates leases on behalf of landlords and tenants of retail, restaurant, industrial and office properties and negotiates and closes sales contracts for sellers and purchasers of real property. He also advises clients on the sale and purchase of distressed assets and lenders in connection with the financing of such transactions.

Bill also has considerable experience representing lenders and borrowers in transactions involving commercial mortgage-backed securities.

  • Represented a lender in connection with $80 Million senior mortgage loan secured by real property in Manhattan in a transaction that involved a subordinate loan of $30 Million.
  • Represented a lender in connection with a $28 Million mortgage loan to two borrowers as tenants in common secured by a parking garage in Manhattan.
  • Represented a lender in connection with a $20 Million mortgage loans secured by two commercial properties in Manhattan in a transaction where the borrower utilized a “reverse” 1031 exchange.
  • Represented a lender in connection with a $16,000,000 mortgage loan to three borrowers as tenants in common secured by three commercial properties in Manhattan.
  • Represented a lender in connection with a $10,000,000 mortgage loan secured by a shopping center in Philadelphia, Pennsylvania.
  • Represented a lender in connection with a $8,000,000 mortgage loan secured by a hotel in Queens, New York.
  • Represented a lender in connection with a $14.8 Million securitized CMBS loan secured by a multifamily building in Las Vegas, Nevada.
  • Represented a lender in connection with a $28 Million securitized CMBS loan secured by a multifamily building in Columbus, Ohio.
  • Represented a lender in connection with a $8.5 Million securitized CMBS loan secured by an office building in Dallas, Texas.
  • Represented a lender in connection with a $60 Million securitized CMBS loan secured by a shopping mall in Twin Falls, Idaho.
  • Represented a lender in connection with modifying a $20,000,000 mortgage loan secured by a shopping center in Baltimore, Maryland.
  • Represented a special servicer of a securitized loan in connection with the foreclosure of a leasehold mortgage of a commercial office building in midtown Manhattan.
  • Represented a Korean cosmetics company in a nationwide rollout of their brand in the U.S., negotiating leases for retail space on Lexington Avenue, in the World Trade Center, the Garden State Plaza, in upscale shopping centers in Santa Monica and Torrance, California and in two locations in San Francisco.
  • Represented an Italian upscale women’s clothing company in a nationwide rollout of their brand in the U.S., negotiating leases for retail space on Madison Avenue and in the Soho neighborhood in Manhattan, in Woodbury Commons Shopping Center and in upscale shopping centers in downtown Miami and Bal Harbour, Florida.
  • Represented an Austrian jewelry company in connection with leases for retail space on Madison Avenue, in the GM Building and in Greenwich Village.
  • Represented a Korean clothing company in connection with the lease of a building in Williamsburgh, New York for their flagship U.S. location.
  • Represented a Brazilian women’s shoe company in connection with an office lease in New York and with leases for retail space on Madison Avenue, in an upscale shopping center in Los Angeles and for a retail store on Rodeo Drive in Beverly Hills.
