  • May 11, 2021Norris McLaughlin Appoints David Roberts as Chair and Elects David Harmon and Graham Simmons to Management Committee

    The law firm of Norris McLaughlin, P.A., is pleased to announce its 2021 Management Committee.

    David C. Roberts, a Member of the firm and Co-Chair of its Litigation Practice Group, has been appointed Chair of the firm, succeeding John N. Vanarthos, also a Member of the firm, who has served since 2018.

    David T. Harmon, Co-Chair of the firm’s Executive Compensation and Employee Benefits Practice Group, and S. Graham Simmons, III, Co-Chair of the firm’s Business Law Practice Group, have been elected to the firm’s Management Committee, joining Roberts, David S. Blatteis, Bruce S. Londa, Robert Mahoney, and Melissa A. Peña. With Simmons on the Management Committee, Theodore J. Zeller, III, Chair of the firm’s Liquor Law, Licensing, Manufacturing, and Distribution Practice Group, will succeed his current role as the Pennsylvania office’s Administrative Partner.

    Dolores A. Laputka is stepping down after three years on the Management Committee and will continue to serve on the Norris McLaughlin Finance Committee. Both Vanarthos and Laputka continue as equity members of the firm.

    Dave Roberts

    Roberts devotes his practice to handling complex commercial litigation matters such as fraud, fraudulent transfers, trade secrets, and restrictive covenant litigation, with particular emphasis on business partnership and shareholder disputes in New Jersey. He aims to resolve matters through mediation, if that approach fits the client’s goals and objectives, but is an experienced trial attorney prepared to litigate matters that cannot otherwise be resolved. In 2007, Roberts launched the firm’s Shareholder Disputes in New Jersey Law Blog, “Business Divorce in NJ,” which addresses minority shareholder disputes in New Jersey.

    David Harmon

    Harmon focuses his practice on the areas of executive compensation, employment, and business law. He represents senior-level employees of both public and private companies in the negotiation of their employment packages and all associated agreements, whether at the commencement of the employment relationship through offer letters and employment agreements or at termination through severance agreements. Harmon’s representation also includes providing advice and counsel to employers in the preparation and negotiation of employment and severance packages with their employees, the design of human resources compliance programs, and counseling and training concerning the implementation of those policies. He authors the firm’s Employment Transitions Law Blog, “Transitions in Employment.”

    Graham Simmons

    Simmons is a business and real estate lawyer. He has served both public and private sector clients on all types of merger and acquisition (M&A) transactions, commercial and syndicated credit facilities, economic development projects, real estate transactions, leases, and land use and zoning matters.     Norris McLaughlin, P.A., a Bridgewater-based law firm, today announced that it has successfully reached the international cybersecurity standards for law firms set by Meritas, the global alliance of independent business law firms. Norris McLaughlin is a member of Meritas and, in order to retain membership in good standing, is required to self-report their compliance with the Meritas Cybersecurity Standards for keeping client data and information secure.

    The standards define 10 essential cybersecurity requirements that the 182 Meritas member firms and future members of the organization are expected to meet. As part of the process, Norris McLaughlin completed an assessment of cybersecurity best practices and readiness to take its practices to the next level, implemented cybersecurity enhancements in key areas to respond to ever-changing online risks, and underwent a compliance review against the Meritas standards. To successfully meet the standards, Norris McLaughlin has information security, risk assessments, technical and physical safeguards, employee training, third-party risk management, and business continuity plans in place, along with a breach response process. As part of its Meritas membership renewal, Norris McLaughlin will regularly complete a cybersecurity assessment to maintain its level of security for safeguarding information.

    Norris McLaughlin, P.A., has been selected as a Morning Call Top Workplace for the seventh year in a row, each year since the survey’s start.  The Top Workplaces were recognized at an awards ceremony on Wednesday, March 6.     The Bridgewater-based law firm of Norris McLaughlin, P.A., is pleased to announce that it has once again participated in Safe + Sound Somerset’s Holiday Gift Drive as part of its commitment to the community. The annual event helps fulfill the holiday wishes of many local families.

    Attorneys and staff contributed to a general wish list in support of Safe + Sound’s Holiday Store. The organization transformed their main conference room into a gift shop stocked with donations, where their clients can make gift selections for their families.  Children can also “shop” for a special holiday present for Mom, siblings, and others important to them. All gifts selected are provided to the client’s families at no charge.

    John N. Vanarthos, a Member of the law firm Norris McLaughlin, P.A., has been elected Chairman of the firm, following four years on the firm’s Management Committee.  He succeeds Matthew R. Sorrentino, who recently left the firm to serve as Chief Legal Officer of Lehigh Valley Health Network, one of the firm’s largest and oldest clients. In addition, David Blatteis and Graham Simmons have joined Dolores Laputka as Co-Chairs of the Business Law Group; David Roberts has been selected as Chair of the Litigation Practice Group. Robert Gabrielski has stepped down as Chair of the Business Law Group after ten years, and Robert Mahoney has stepped down as Co-Chair of the Litigation Practice Group after twelve years.

    Norris McLaughlin, P.A. Represents Dielmann-Haniel in $61 Million Deal

    Bridgewater, NJ (June 16, 2011) – The Bridgewater-based law firm Norris McLaughlin, P.A. represented Dielmann-Haniel International Mining and Tunneling GMBH (DHI) in its divestiture of Frontier-Kemper Constructors, Inc. (“Frontier-Kemper”), an Indiana-based provider of construction services and related manufactured products to the tunneling and mining industries. Tutor Perini Corporation (NYSE: TPC), a leading civil and building construction company, acquired 100% of Frontier-Kemper’s stock for approximately $61 million in cash and assumed approximately $52 million of debt, of which $35 million was paid off at closing. Tutor Perini financed the transaction with proceeds from its senior note offering that closed in October 2010.

    John N. Vanarthos and James H. Laskey led the team of attorneys in the Norris McLaughlin, P.A. Mergers and Acquisition Group that worked on the deal. The team of attorneys on the deal also included Charles A. Bruder on employee benefits issues and Jeffrey M. Casaletto on environmental issues.

    Frontier-Kemper builds tunnels for highways, railroads, subways and rapid transit systems. It also constructs tunnels, shafts and other facilities for water supply and wastewater transport and develops and equips underground mines with innovative hoisting, elevator and vertical conveyance systems for the mining industry. Headquartered in Evansville, Ind. with office locations in Pelham, N.Y., and Seattle, Wash., Frontier-Kemper employs over 600 people and has current backlog of approximately $300 million. Revenues in fiscal year 2010 were approximately $148 million.
